常言道「他山之石,可以攻錯」!
正因如此,本期《眾律觀點》有鑑於近來SPAC上市架構(Special Purpose Acquisition Corporation,中文:「特殊目的(標)收購公司」)成為全球資本市場的新寵。隨著美國、新加坡和香港等地區陸續修改她們的上市規則,以期達到依SPAC上市的構想。
因此,本期將由本人和吳尊傑法務助理依適當的主題來撰寫以下觀點的文章:(1)初探SPAC模式進行併購交易前之法律問題—以美國、新加坡和香港為中心;(2)疊床架屋或是建構多元資本市場的可能?初探台灣法引進SPAC的可能;(3)離岸架設VIE架構(協議控制架構)後進行SPAC併購交易所衍生的法律問題—從母國觀點出發;(4)選擇SPAC的上市地點(香港、美國或新加坡?):以台生技業為例。

第一章 全球視野
第一節 初探SPAC模式進行併購交易前之法律問題—以美國、新加坡和香港為中心(范國華、吳尊傑)

近來,特殊目標(的)併購公司(Special Purpose Acquisition Corporation, 以下簡稱「SPAC」)成為資本市場的新寵。從美國納斯達克、紐交所到亞太地區的新加坡、香港,無不通過修改交易所上市規則(新加坡)或已進入諮詢公眾階段(香港)。首先,甚麼是「SPAC」?簡言之,她是以反向收購為目標的新創公司的上市發展戰略;與傳統上市制度相比較,SPAC一般是由具有私募投資、企業籌資或相關產業經驗專業管理人(即發起人)組成,通過首次公開募股籌資,目標是在提交上市後一段期間內物色一家合適的目標公司,然後擬訂併購交易條款與之進行合併。本質上,她是一種「殼股公司」,方便新創團隊免去傳統上市之複雜的流程,一來為投資人帶來投資回報,二來縮短新創獨角獸上市的時間。不過,值得探討的是,「殼股公司」股東與「目標公司」股東進行併購時,若SPAC發起人與目標公司具有關聯交易的可能,參諸美國、新加坡和香港的法制,彼等是作如何之處理?待本文以下一一說明。
雖說SPAC制度能夠免於眾多新創業者上市籌資的麻煩。惟相關文獻提醒我們: (1)SPAC發起人與SPAC公眾股東間的利害關係;(2)SPAC發起人與SPAC私人股東間利害關係;以及(3)在選定目標併購公司後,發起人與目標公司股東間利害關係。較有問題的是(1),是故SPAC的核心治理挑戰是管理發起人(Sponsor)與公眾股東之間的內在衝突。首次公開募股後,SPAC的發起人和管理層尋找目標併購公司。一般而言,站在SPAC股東的立場,他們固然希望合併帶來股東利益最大化的結果;惟若缺乏如此的機會,他們就在SPAC董事會提議合併時,通過行使贖回權收回資金,或通過董事會啟動SPAC的清算程序。在後一情況,當發起人沒辦法談判達成一筆好的併購交易時,發起人的動機就是接受一筆糟糕的交易,而不是清算。基此,就可能衍生發起人與SPAC公眾股東間利害關係。
發行人資格
美國法上,紐交所評估SPAC是否適合上市時,SPAC發起人的經驗及過往業績,皆是考量因素之一。 至於新加坡,則考慮
(1)創始股東的過往業績和聲譽
(2)管理團隊的專業知識暨經驗
(3)SPAC發起人及SPAC董事合共持有SPAC上市時市值的2.5%至3.5%。
而香港,依據港交所《上市規則》修訂稿正文顯示,SPAC必須確保發起人具備以下兩項資格:
(1)在上市時及其後,皆持續地至少有一名SPAC發起人擁有證監會所發出的第6類(針對機構融資提供意見)及第9類(提供資產管理)牌照的公司
(2)依據交易所要求向其提供所需資料
(3)至少一名發起人實際持有SPAC發行的發起人股份的至少10%。
發起人選好目標併購公司後需經股東會通過併購決議
此時,股東將就SPAC併購交易進行表決。在美國法上,除了發起人可參與表決外,如果併購交易涉及以下任一項股份發行,則亦須經股東表決通過:(1)發行量達已發行股本的20%以上 ;(2)任何董事、高階管理人員或重大股東於目標公司中個別持有5%(或合共持有10%)或以上權益,而發行股份將使流通普通股或投票權增加5%或以上 ;或(3)發起人股份會使發起人控制權發生變化 。至於新加坡,除了發起人可參與表決外,亦須經大多數SPAC股東的同意,包括SPAC創始股東、管理團隊及其各自聯絡人分別就其持有的SPAC股份 。與美國、新加坡不同的是,香港交易所要求SPAC併購交易須於股東大會上經SPAC股東批准作實,惟不得以股東書面批准代替。又,如果股東及其緊密聯絡人或控股股東及其緊密聯絡人於交易中存在重大利益,則他們就不可以在股東大會上表決通過該SPAC併購交易議案。
涉及到內部人與SPAC目標併購公司間的利害關係時之處理
美國紐交所和納斯達克在此情況下的處理方式,為當SPAC發起人、董事、高階管理人員及關係人持有SPAC併購目標的權益時,他們應在招股章程和股東投票說明書中揭露。 另外,在關聯交易規則適用的情況下,SPAC的審核委員會或獨立董事必須進行檢視及監督。
再看新加坡法的規定,當發起人涉及與目標公司有關聯交易的可能時:
(1)適用現有的新交所主板規則對利益人士交易的規定
(2)應在上市文件及通函中揭露SPAC發起人、SPAC董事及其各的關係人的潛在利益衝突以及相關減輕利益衝突的措施。
最後,我們來看一下香港《上市規則》修訂稿正文的說法 ,就SPAC而言,港交所的《上市規則》第14A.07條關於「關連人士」的定義將修改為包括「特殊目的收購公司發起人;特殊目的收購公司的受託人或託管人;及特殊目的收購公司董事,以及上述人士的聯繫人。」當SPAC須遵守《上市規則》第14章A有關關連交易的適用規定時,SPAC必須:
(1)證明建議交易相關的利益衝突微乎其微
(2)有充分理由支持其聲稱交易會按公平交易基礎進行的說法
(3)在任何情況下,均在批准SPAC併購交易的公告內,加入交易的獨立估值資料。
具體例子包括:(1)是否可以證明SPAC及其關係人並非SPAC併購目標的控制股東;(2)SPAC並沒有向關係人支付現金代價,而向關係人發行的代價股份設有12個月的禁售期。
總而言之,從上述地區對SPAC架構的監管要求以觀,對SPAC的關係人併購交易情況,皆有SPAC控制股東的相關資訊揭露的要求,以減輕SPAC併購中可能出現的關連人交易的情形。
第二節 Discuss the application of SPAC model in the new economy- take Virgin Galactic as an example(探討SPAC模式在新經濟中的應用情況-以維珍銀河為例)(王德浩)

Introduction to SPACs
Special Purpose Acquisition Company (SPAC), also known as a blank check company, has become an increasingly popular method in recent years to list companies on stock exchanges. Essentially, SPAC is a shell company with no actual commercial operations; it is created solely for raising capital through an initial public offering (IPO) to acquire a private company.
In its lifespan, a SPAC undergoes three phases: an IPO phase, a target search and negotiation phase, and a closing phase. During the IPO phase, the SPAC fundraises by selling common stocks and warrants. The common stocks are often sold for $10 per unit, and the associated warrants allow the investors to purchase shares of the common stock at a fixed price in the future. Once sufficient funds are raised, they are kept in a trust.
The SPAC then moves onto the target search and negotiation phase, during which the management team, also known as the sponsors, identifies a private company of interest that it plans to acquire with the capital raised from the IPO.
In the closing phase, one of two things can happen. If the negotiations prove to be successful, the SPAC and the target company will combine into a publicly-traded operating company. If not, the SPAC will have to return to the target search and negotiation phase to find another suitable candidate. If the SPAC fails to merge with or acquire a company within a deadline, typically around two years, it will be liquidated and return the funds back to the investors.
Difference between SPAC and Traditional IPO
Of the several ways that a private company can go public, one common route is through a traditional IPO. The traditional IPO starts with hiring an investment bank to oversee the process of seeking institutional investors. Roadshows and pitch meetings between company executives and potential investors are then arranged to drum up interest and demand in the company’s shares. During the IPO stage, a company comes under significant regulatory and investor scrutiny of its finances, liabilities and operations. In fact, not all IPOs have succeeded given the arduous and straining nature of the process. For example, after the revelation of the weak demand in its shares and leadership controversies, workspace sharing company WeWork withdrew its high-profile IPO in 2019.
In contrast, SPAC provides a quicker alternative for a company to go public. As SPAC has no operations, no debt, no liabilities and almost no assets to begin with, it can move through the regulatory steps in as little as 8 weeks to a few months as opposed to the many months needed for a traditional IPO process. And since SPAC does not have any historical financial results to be disclosed and inspected, a reputable management team can often avoid much investor scrutiny when making its pitch. It is then extremely convenient for a private company to merge with a SPAC to go public, because the SPAC can spare the company the costly IPO process. In addition, going public through a SPAC can keep a company’s operations private from competitors by limiting the information that the public can access.
Virgin Galactic: A Case Study on Space Industry Adoption of SPAC
Virgin Galactic, founded by the British entrepreneur Sir Richard Branson in 2004, is a space tourism company that aims to dramatically increase access to space for researchers and wealthy individuals. It develops commercial spacecraft and seeks to provide customers with suborbital flights. In October of 2019, Branson took Virgin Galactic public by merging with Social Capital Hedosophia, a SPAC founded by billionaire investor Chamath Palihapitiya and British investor Ian Osborne. Branson retained his controlling 51% stake; the investment firm obtained a 49% stake with Palihapitiya becoming the Chairman of the Board of Directors at Virgin Galactic.
Prior to founding Social Capital, Palihapitiya served as the Vice President of User Growth at Facebook and oversaw Monetization Products and Facebook Platform, both of which played vital roles in boosting Facebook’s user base to more than 750 million individuals worldwide. Osborne is the founder and Chairman of Osborne & Partners, a consulting firm that advises corporations and governments on economic regulation, public policy, commercial strategy and litigation. Osborne also served as a partner at DST Global, a family of funds with high-profile investments in Alibaba, Airbnb, Facebook, Spotify and Twitter. Their extensive investment experiences and connections allowed the new company, Virgin Galactic Holdings, Inc., to go public with a $2.3 billion market capitalization as the first space company using the SPAC route.
At a quick glance, the merger appears to be just like any other SPAC acquisition of the time, skipping the time and cost associated with the traditional IPO. Upon closer inspection, however, one can truly appreciate the ingenuity of taking a space company public through SPAC. Commercial space travel, given our limited technological capabilities, remains to be a developing field filled with uncertainty. Innovation may require too much time or resources to be deemed profitable; accidents that raise safety concerns may shut off public confidence in and support of commercial space travel altogether. Such uncertainty can therefore dissuade prudent investors from funding space companies because the investment returns depend largely on elusive breakthrough innovations and fluctuating public confidence in space ventures. By merging with a SPAC, Virgin Galactic avoided facing extensive investor scrutiny that may reveal damaging information or raise further concerns. In addition, since the merger was technically an acquisition, securities regulators allowed the SPAC to include projected future revenues in its investor pitches, diverting attention away from actual business results.
Given the competitive and speculative nature of the space market, a space company can benefit immensely from merging with SPAC because of the relatively quick and large sums of money it can receive. It should not come as a surprise that Virgin Galactic’s SPAC deal then set off a wave of space companies merging with SPACs. In February of 2021, satellite imagery specialist BlackSky merged with Osprey Technology Acquisition Corp, bringing in a $450 million cash infusion and valuing the company at $1.5 billion. In March of 2021, small satellite builder and data specialist Spire Global announced its merger with NavSight, bringing in $475 million cash and valuing the company at $1.6 billion. Around the end of 2021, Virgin Orbit, the satellite launching company also founded by Branson, planned to merge with NextGen Acquisition Corp. II for $483 million new capital and valued the merger at a whopping $3.2 billion. Clearly, SPAC mergers have become the preferred path to go public by space companies.
SPAC Mergers: Perfect Solution or Flawed Loophole
Despite the tremendous benefits and convenience that SPAC merger has offered to the space industry, SPAC acquisition is not a riskless scheme. First, pumping funds into a relatively small, speculative market risks creating a space industry bubble. Second, SPAC rewards certain players of the game at the cost of others. Specifically, SPAC shares’ net cash value becomes diluted after mergers. Hence, the sponsors and IPO investors profit handsomely from mergers while SPAC shareholders that choose not to redeem their shares before the merger lose out. Third, studies have shown that many SPACs have failed to meet their lofty goals and projected revenue. For example, a Financial Times study highlights that only 3 out of the 41 SPACs that have completed transactions since the start of 2020 are trading within 5 percent of their peak share prices. The rest have dropped by 50 to 80 percent from their peaks. The potential cooling down of SPAC deals, exacerbated by the increasing SEC crackdown on SPAC, shrouds the future of SPAC with uncertainty. Regardless of the changes to come, it is undeniable that SPACs have provided indispensable resources to early-stage space companies and have contributed to innovations that would forever transform human understanding of and interaction with space.
第二章 比較視野
第一節 SPAC模式與傳統IPO模式的差異(賴奕霖)

一、 SPAC概述
(一) 定義
SPAC(Special Purpose Acquisition Company,特殊目的收購公司)是除了傳統IPO(Initial Public Offering,首次公開發行)、借殼上市、以及直接上市外,另一種上市模式。SPAC本身並無經營任何業務,其成立之目的在於透過IPO募集資金,並併購具有潛力之未上市公司進而獲取利益。換言之,SPAC在成立後一定期間找尋具有潛力的未上市公司併購,提供未上市公司一個上市的「殼」。併購後,該未上市公司的股票將轉換為SPAC公司已上市之股票,一方面使該未上市之公司藉此成為上市公司,並取得SPAC公司上市募得之資金,另一方面則讓投資人得於公開市場出售股票而獲利。
(二) 趨勢
2020年,全球壟罩於COVID-19疫情之陰霾,但SPAC卻逆勢成長。據統計,2020年美國共有480件IPO ,其中即包含247件屬於SPAC之IPO 。而2021年上半年,美國IPO件數已達562件 ,其中包含362件屬於SPAC之IPO。透過SPAC上市的公司除了知名太空旅行公司維珍銀河(Virgin Galactic) 、新創電動卡車製造商Nikola以及電動博弈商DraftKings 外,電動車廠Lucid Motors、擁有「東南亞Uber」稱號的叫車平台Grab亦分別於2021年8月 、2021年12月 透過SPAC上市,可見SPAC在2021年的熱潮更遠勝於2020年。
二、 與傳統IPO之差異
未上市公司可以選擇以傳統的IPO上市,或是透過SPAC上市。然兩者相較,在時間、費用、談判條件彈性等均有差異。與傳統IPO上市與透過SPAC上市比較如下:
(一) 透過SPAC上市時間較短
在時間上,傳統IPO程序上包含須選擇中介機構、申請登記、安排路演(road show)以尋找買家、決定承銷價格等,時間快則約需6個月,慢則約需1年以上 ;而未上市公司透過SPAC上市僅須經SPAC公司股東決議通過,無須選擇中介機構、安排路演(road show)等程序,美國證券交易委員會(SEC)審核程序上由於SPAC公司並無實際營業,因此無須揭露資產及財務報表,時間較為簡短。
三、 透過SPAC費用較為低廉
未上市公司透過傳統IPO程序上市除須負擔上市總收益(Gross IPO proceed)約7%的承銷費用 外,申請上市的過程中因相關程序(如:盡職調查等)還必須支付律師費、會計師費、外部顧問費等費用;而透過SPAC上市的公司僅須2%至5.5%之承銷費用 ;另由於SPAC公司未實際營業,因此在律師費、會計師費、外部顧問費等支出上亦較低廉。
四、 透過SPAC彈性較高
投資人或承銷商對於規模較小的新創公司往往不感興趣,使得規模較小的未上市公司若以傳統IPO上市,較難獲得投資人或承銷商青睞。若未上市公司透過私募基金投資上市,私募基金多會要求取得未上市公司的控制權,對於未上市公司經營團隊選擇必然造成影響。此外,IPO上市股票價格取決於公開市場,較無彈性。相對而言,未上市公司只要受到SPAC公司青睞,即有機會透過SPAC公司上市,且併購過程中僅由SPAC公司與未上市公司進行談判,因此雙方得就併購條件彈性協商,未上市公司經營團隊的控制權、未上市公司的估值均較為彈性。
五、 透過SPAC上市調查程序較不嚴謹,對投資人保障較為不足
以傳統IPO程序上市之公司須依SEC制定之相關程序提出完整資料(包含公司章程、財務資料等);透過SPAC上市之程序並無須如傳統IPO上市進行嚴格之盡職調查程序,因此未上市公司可能產生財務重述(Financial restatements)、估值錯誤、甚至因盡職調查程序瑕疵導致相關訴訟,進而影響SPAC公司之股價,對於投資人之保障較為不足 。
第二節 疊床架屋或是建構多元資本市場的可能?初探台灣法引進SPAC的可能(范國華、吳尊傑)

由於SPAC匯集了經驗豐富的管理團隊,通常由行業資深人士、私募股權發起人或其他融資專家組成,他們可以利用他們的專業知識籌集資金,在24個月或更短的時間內收購並運營一家新的上市公司,SPAC將尋找合適的收購標的,並在交易完成後成立一家新的上市公司。就此而言,台灣就是否引進SPAC,業者多持積極樂觀的態度。惟金管會針對現階段台灣資本市場乃以「散戶」(自然人)為主,故相較於香港、新加坡和美國的以「專業機構投資者」為主的資本市場而言,又考慮到在沒有專業機構的把關下,恐不利於投資者的保護;再來,SPAC本身並沒有經營實際業務,故不符合上市櫃公司的審查標準;三來,需先明確一旦出現誇大目標併購公司之情事時:如何保護投資者等。簡言之,金管會對SPAC目前仍持觀望態度。
台灣引進SPAC架構的必要性?
首先,台灣證交所已於2018年3月31日針對市場上出現一些「雖具一定估值,但卻處於虧損狀態」公司,受限於嚴格的上市條件,導致其無法申請上市;有見及此,特開始「多元上市條件」之實施,以利「無獲利公司」取得籌資之管道;乃進一步表示「本次新增免除獲利能力條件之大型企業,除維持實收資本額須達新臺幣6億元以上之上市條件外,另區分市值達新臺幣50億元以上及新臺幣60億元以上二類型,『類型一』為市值50億元以上,須同時符合一定標準之營業收入、現金流量及淨值;『類型二』為市值60億元以上,免除現金流量條件,但仍須符合一定標準之營業收入及淨值。另外臺灣證券交易所亦要求此類公司申請上市時之公開說明書,應於封面特別載明未要求獲利能力等字句,以提醒投資人注意。」
另外,台灣IPO的申請成本和時間,是否較SPAC繁瑣?還是較SPAC來得便捷?等等,皆是值得立法者認真思索的問題。相反,若貿然引進,恐怕就只是疊床架屋而非建構多元資本市場籌資機制。
值得關注的是,觀看目前台灣資本市場的發展現況,亦已完成多元資本市場的建置,例如主板上市制度及櫃買市場發行制度。又晚近,為了因應新創事業籌資困難,故參考國際間主要資本市場的做法,已於2021年7月20日設立「創新板」,與上述「多元上市條件」不同的是,乃訂定以「市值」為核心,並輔以營收或營運資金的要求;惟考慮到新創事業多屬快速變動和營運風險高的產業,因此新制僅限合資格投資人(如專業投資法人、創投及符合相當財力門檻暨投資經驗的自然人) 可以參與交易。
兼論「創新板」的特色
申請在「創新板」上市的台灣公司,須為受證券承銷商上市輔導或登錄興櫃股票擇一屆滿6個月、已依公司法設立登記屆滿2年及記名股東人數在50人以上等擁有關鍵核心技術和創新能力或創新經營模式的公司,並應由推薦證券承銷商出具評估意見說明;此外,亦需具備下列要求:(1)申請上市時普通股股份發行總額達新臺幣1億元以上(約合美元360萬元)且發行股數達1,000萬股以上;(2)申請上市時也應符合下列三類標準之一:
第一類:市值不低於新台幣15億元(約合美元5400萬元);最近一個會計年度的營收不低於新台幣1.5億元(約合美元540萬元);有足供掛牌後12個月的營運資金。
第二類(限於生技醫療事業):市值不低於新台幣30億元(約合美元10億元);有不低於足供掛牌後12個月營運資金的125%;新藥公司核心產品通過第1階段臨床試驗。
第三類:市值不低於新台幣40億元(約合美元14億元);有不低於足供掛牌後12個月營運資金的125%。
總之,符合上述「創新板」上市要求的台灣公司,從「證券承銷商上市輔導或登錄興櫃股票任一屆滿6個月」到「上市掛牌典禮」,需通過兩階段的準備:(1)第一階段是為期2到3個月的上市審查階段,通過後進入(2)為期1到3個月的準備上市掛牌階段。
故與SPAC進行比較
因此,相較於SPAC上市後至少需2年尋找目標併購公司的階段而言,完成整件創新板上市程序的台灣公司,最長不超過1年。又參考納斯達克資本市場、納斯達克全球市場以及紐約交易所的SPAC上市公司最低市值要求,分別為美元5000萬元、7,500萬元及1億元。由上可知,對台灣新創業者而言,SPAC的優勢就明顯降低。
台灣應該思考的是,在甚麼條件之下引進SPAC
參考工商時報最近發表的一篇社論,題為〈台美資本市場鏈結的重要性及策略〉 ,乃作出策略性建議如下:
(1)推動地區交易所間的合作;(2)鼓勵台灣新創業者赴美籌資,以增加國際能見度;(3)設立雙重上市(掛牌)機制,以培養台灣的國際級企業。基此,SPAC若要有效運行,並非依樣畫葫蘆就可成事。要言之,先要知道資本市場生態系統的重要性,即需要有來自世界各地的「大型機構投資者」和「專業投資者」的參與,如此方才能由聲譽卓著的專業投資者取化傳統IPO下證券承銷商的把關功能。否則,就只會是「邯鄲學步、橘逾淮為枳」罷了!
第三節 What are the similarities and differences between SPAC and backdoor listing? (SPAC與借殼上市之相同和不同之處?)(何昇安)

The stock market is advantageous for both companies and investors, for companies it brings an influx of capital, on the other side, for shareholders, it is a form of diversified investment that provides a degree of ownership in the issuing company. In this system, the capital market can be beneficial for both sides. However, listing the private company in the stock exchange through an Initial Public Offering (IPO) is not a simple, nor a cost-free process (where there is a set of conformity requirements for publicly traded companies, such as the need for financial reporting documents, auditing, investor relation departments, accounting oversight committees, and so on). Therefore, it is of paramount importance to know the ins and outs of the capital market. As part of this journey, in this article, we will introduce the similarities and differences between Special Purpose Acquisition Company (SPAC) and Backdoor Listing. They are both alternatives to list a Company in the stock market, and, in a way, circumvent the lengthy and costly IPO process.
First, a quick introduction to Backdoor Listing, as the term implies, is an indirect way to list a company, it is usually accomplished through a “reverse takeover” (RTO), i.e. by acquiring or merging with a listed company (usually with operational and financial performance problems) that is already publicly traded on the stock exchange.

The fact that no significant regulatory review is required (and no prospectus requirement) means that the timeframe for completion of an RTO is considerably shorter than that for an IPO (3~4 months instead of a year). In addition, costs can also be saved due to the lack of an underwriter. It will be much easier for the company acquiring the listed company to raise capital, as investors will have a clearly defined exit strategy through the public market. Nevertheless, some of the drawbacks to RTOs are that their speed and eventual value are sometimes overestimated, and they are sometimes completed without enough regard for the uninvolved shareholders, especially when the backdoor listing process results in share dilution, which can decrease existing shareholders’ ownership and value in the company.
Moreover, this method of circumventing the IPO process is not well seen by the stock exchanges as a whole, and many adopt a tough regulatory framework to prevent such maneuvers and maintain market quality.
On the other side, SPACs, also known as “blank check companies” or “poor man’s private equity funds” is a shell company that has no commercial operations, centered on the objective to raise capital through an IPO that is set in a trust account, and, within a certain period of time (generally, within 24 months) to acquire a company or return the capital to investors.
Generally, a SPAC is formed by a renowned management team, a sponsor with nominal invested capital or celebrities, typically with a 1/5 interest in the SPAC (commonly known as founder shares). The remaining interest is held by public shareholders through “units” offered in an IPO of the SPAC’s shares. Once a target company is identified and a merger is announced, the SPAC’s public shareholders may alternatively vote against the transaction and elect to redeem their shares.

Hence, there can be some confusion between both terms, as SPACs are considered as a type of Backdoor Listing, in other words, SPACs are species of the class Backdoor Listing.
SPAC listing has been around since the 1990s, with a resurgence in 2003, and a year of explosive growth in 2020, accounting for nearly half of the IPO cases in the US stock exchange (Nasdaq and the New York Stock Exchange). However, in 2021 SPAC offers are diminishing in the US due to larger attention by government regulators, due to this slowdown, SPACs are forecasted to appear on other stock markets, especially those from the Asia-Pacific region.
When compared with other types of Backdoor Listing, SPACs offer some notable advantages, without having the “baggage” of the pre-listed Company (i.e. existing business operations, debt obligations, etc). In addition, a key point of difference is which entity acquires who, in the traditional Backdoor Listing, the private company acquires a public company that is already listed, an outcome of this method is that the resulting company is forced to continue trading in the acquired company`s name; while SPACs, on the opposite direction, it is the listed SPAC (a bank shell company comprised of capital) that acquires the targeted operating company and, then, trades is the name of this successor company.
Moreover, the substantial costs of listing company compliance need to be prepared beforehand, the company cannot simply stake the capital to be raised in the IPO listing to cover this cost. However, this is not the case with SPACs, in this case, the IPO capital is already raised and sitting in a trust account, in sum, SPACs are an injection of capital in a company without the hassles of an IPO and compliance with underwriters.
An investor in a SPAC is making a decision based on the managing team, promoters and sponsors. The reduced degree of oversight from stock market regulators, coupled with a lack of transparency on the SPAC procedure, represents that retail investors run the risk of being saddled with an investment that could be massively overhyped or even fraudulent. Also, Return Over Investment (ROI) from SPACs may be below expectations when the initial IPO hype passes. Goldman Sachs and Renaissance Capital analysts noted at the end of 2021 that of the 172 SPACs, 6 months after deal closure, as many as 70% of SPACs were trading below their $10 offer price as of Sept. 15, 2021. This underperformance could mean that the SPAC bubble that some market experts had warned about may be in the process of bursting.
Some of the best-known companies to have become publicly listed by merging with a SPAC are: digital sports entertainment and gaming company DraftKings; aerospace and space travel company Virgin Galactic; energy storage innovator QuantumScape; and real estate platform Opendoor Technologies.
In sum, SPACs continue to gain popularity as a potential liquidity option for many companies. The SPAC merger process with a target company may be completed in as little as three to four months, which is substantially shorter than a typical traditional IPO timeline. Accordingly, a target company must accelerate public company readiness well in advance of any SPAC merger. Further, given the compressed timeline of a SPAC merger, project management is essential to reduce execution costs, increase project efficiencies, and provide working group participants with enhanced accountability and transparency.
第四節 離岸架設VIE架構(協議控制架構)後進行SPAC併購交易所衍生的法律問題—從母國觀點出發(范國華、吳尊傑)

首先,所謂「協議控制架構」(又稱「可變利益實體」,下稱「VIE架構」),乃指以協議控制為手段架設不需通過控制多數表決權的方式來實現對一家公司的控制,從而得以合併財務報表;常見的例如境外特殊目的公司(Special Purpose Vehcle, SPV),即創始人團隊為何選擇境外避稅天堂(如英屬維京群島和開曼群島等)成立SPV,一來是為了保障創始人團隊擁有公司控制權、二來提升公司運營效率並考量到當前各國交易所對上市公司採用雙重股權結構的認知差異。 本文有鑑於發起人透過VIE架構,申請赴美國或新加坡等地成立以SPAC為目的之公司,站在發起人母國的觀點,由於VIE一直處於政策與監管間灰色地帶,比方說如何加強對SPAC股東或投資者的保護?尤有甚者,乃主管機關對以母國為主要營運地的SPAC的監管透明度的要求。在在都值得本文加以討論。
VIE架構之資訊透明問題
相關研究指出 ,相較於沒有採取VIE架構的上市公司而言,又假設前述公司完全遵守美國證券交易委員會(下稱「SEC」)的規定,披露了相關細節性資訊,讓投資人至少可以做出明智的決定。但各國對VIE要求揭露差異極大,因為一些詳細說明了契約安排和劣質公司治理實踐的多重風險,而另一些則沒有在其招股說明書或年度報表中明確表明他們採用了VIE架構。與未對遞延所得稅負債進行核算的情況一樣,一些公司創造性地通過委婉或法律豁免來避免揭露。一直以來,這些主要位於開曼群島或維京群島的公司奉行致力於減少對外國投資者的問責制和透明度的公司治理實踐。所以,對遠在註冊地以外的股東或投資者而言,並沒有實際的參與權或經營權。
美國、香港對採VIE架構的公司的相關規範
一般而言,公司運用VIE架構赴第三地申請上市籌資,舉個簡單的例子,甲國A公司申請赴乙國交易所IPO,惟A公司的註冊地卻在丙國。如此,不論是對母國(甲國)投資人而言,抑或對丙國投資人而言,皆有監管上的困難。更何況是,丙國(境外避稅天堂)為了吸引更多海外公司前往登記註冊,故多採用低度的公司治理要求。
因此,舉美國對經常採用VIE架構申請上市的中國公司的普遍做法為例,乃著重提高此類公司的協議安排的透明度:因為該協議安排能否在中國被執行,是VIE整合的關鍵。鑑於其投資者保護任務,SEC應考慮通過以下方式調查VIE並確保更高的透明度:
- 要求使用VIE架構的中國公司在其20-F文件中揭露關於它們所依賴的契約的完整法律意見,作為合併VIE架構的基礎;
- 要求每個實體(VIE、WFOE(Wholly Foreign Owned Enterprise,外商投資企業,下稱「WFOE」)和上市公司)都有單獨的、未合併的財務報表——以便投資者了解公司的運營所在地與實體之間的現金流;
- 促進遞延所得稅負債會計的高質量實施,包括揭露通過VIE架構移動現金流的潛在適用稅率;
- 要求擁有VIE架構的中國公司揭露繼任計劃,詳細說明VIE架構的中國所有者離職後的安排和程序;以及
- 加強對FPI(foreign private issuer,外國私人發行人,下稱「FPI」)的揭露要求,因為82%的擁有VIE架構的在美上市中國公司是FPI,包括對遵守中國法規的證明以及支持商業模式的任何契約安排的可執行性。
而香港的情況,港交所在2018年的《上市決策》中針對VIEs的OPCO公司(指由註冊所有人擁有及由甲公司透過合約安排控制的公司)採取以下措施:
- 有關OPCO公司登記股東的詳情,並確認上市申請人已採取適當安排保障其在OPCO公司登記股東身故、破產或離婚時的利益,以避免於執行合約安排時可能遇上的實際困難。
- 上市申請人對於處理上市申請人與OPCO公司登記股東之間的潛在利益衝突的安排,尤其是這些股東本身具有上市申請人職員及董事的身份。
- 為甚麼董事相信授予上市申請人於OPCO公司獲得重大控制權及經濟利益的每份結構性合約均可根據有關法律及規例有效執行。
- 上市申請人作為OPCO公司主要受益人所承擔的經濟風險;上市申請人分佔OPCO 虧損的方式;上市申請人必須向OPCO公司提供財務支持的條件及情況,及其他可令上市申請人面對虧損的事件或情況。
- 截至目前為止,上市申請人有否在根據合約安排透過OPCO公司經營業務的過程中遇到任何監管機關的干涉或阻礙。
- 於行使對OPCO公司之收購權時的限制,並以獨立的風險因素解釋這些限制,以及闡釋此等股權轉讓仍可能涉及鉅額資金及費用。
- 在「法定及一般資料」一節內將合約安排列作重大合約,並把合約安排登載於上市申請人網站。
- 在「概要」一節內以公司架構圖表展示合約安排及運作模式,以利投資者檢視及理解有關安排。
- 揭露就合約安排相關的風險所購買之任何保險之詳情,或清楚揭露這些風險未有任何保險涵蓋。
- 若上市申請人在OPCO公司以外尚有從其他附屬公司取得收入,則須獨立揭露從結構性合約所產生的收入。
- 若OPCO的營運在中國境內,須披露由中國法律顧問作出的正面確認,確定有關合約安排不會在中國合同法下被視為「以合法形式掩蓋非法目的」而為無效。
對SPACs母國投資人的保護
SPAC通過首次公開募股籌集現金,然後在兩年內尋找一家私人公司,並與之進行合併,從而實現上市;當SPAC提議合併時,SPAC股東可以選擇贖回其股份而不是參與合併,並以有吸引力的回報取回全部投資;如果SPAC未能完成合併,它將清算並將所有資金連同利息返還給股東。 基於前述內容,若SPAC是採用VIE架構來申請第三地IPO計畫,站在該第三地主管機關的立場,目前已有相當要求明確揭露資訊的規範存在(例如美國和香港)。然而,若站在投資母國的立場呢?比較有問題者,則是母國投資者投資母國經第三地上市的運用VIE架構的SPAC,在後續發生任何法律糾紛時,其之爭端解決地和準據法何在?顯而易見的是,當涉及使用VIE架構在第三地通過SPAC上市的母國公司,對母國投資人而言,由於公司受離岸監管困難,故難謂不會有緩不濟急之情出現。
第五節 選擇SPAC的上市地點(香港、美國或新加坡?):以台生技業為例(范國華、吳尊傑)

作為當前熱門話題的特殊目的收購公司(SPAC),美國、新加坡和香港,皆已有相關法規或正在草擬階段。站在SPAC發起人的角度,像是投資新創事業的天使投資人;反之,站在被選定的「目標收購公司」的角度,則比較像是「新創事業」。但不管如何,單從SPAC的吸引力而言,其相較於傳統IPO(請參考本期眾律觀點的相關文章),乃可免於許多不必要的勞費。因此,本文以下將會從香港、美國和新加坡的各自SPAC制度特色及市場規模出發,若台灣生技產業未來有循SPAC架構上市計畫,則對其最有利的資本市場是:香港?新加坡?美國紐交所或納斯達克交易所?以下供相關業者參考。
首先,香港聯交所於2021年12月17日正式公布《諮詢總結》,明示香港交易所將在2022年1月1日起正式接受SPAC上市申請,該諮詢總結修改了早前《諮詢意見》的相關內容,主要包括(1)將至少「30名」機構投資人下調為至少「20名」;(2)「SPAC」董事改為規定SPAC的董事會須至少有兩人為第6類或第9類證監會持牌人(包括一名代表持牌SPAC發起人的董事);(3)投票權與股票贖回權一致;(4)強制性獨立PIPE投資;以及(5)整體權證上限增至50%。 除了新上市模式的引入之外,自港交所2018年推行的上市改革以來,迄今2021年上半年已有逾50家生物科技股申請赴港上市,當中未有營利生技股而成功上市者有33檔;又先後推出了恆生香港上市生物科技指數和華夏恆生香港生物科技指數ETF。 作為過去12年連續7次登上全球IPO籌資排名榜榜首的港交所;2020年,見證了規模龐大的第二上市及著名的生技公司的上市申請、身兼中國公司邁向國際市場和國際公司涉足中國市場的角色定位、且連結全球資金以及相關資產之港交所 ,對需取得全球資金和全球曝光度的台灣生技業者而言,港交所有望成為其被全球專業機構投資者注意的平台。
而新加坡,根據該國經濟發展局 (Singapore Economic Development Board,下稱「EDB」) 的數據,截至2019年,新加坡有超過350家生物技術和醫療技術公司,整個製藥行業佔該國GDP的5%;在英國劍橋大學的進一步研究中,新加坡政府的投資導致製藥廠從2000年到2018年的年增長率為4%;又在研發就業方面,新加坡人均僱用的生物醫學研究人員是美國的5倍。 作為一個位處亞洲中心地帶的領先生物醫學科學中心,新加坡是生物科技公司開發和製造更好地滿足亞洲醫療保健需求產品的首選研發、製造地點;像是葛蘭素史克(GlaxoSmithKline)、默沙東(Merck Sharp & Dohme, MSD)和羅氏(Roche)等公司,皆在新加坡開展了一系列商業活動,包括供應鏈管理、法規事務和醫療業務。 2021年9月3日,新加坡交易所(SGX)更新了上市規則,允許特殊目的收購公司(SPAC)在其主板上市;由於SPAC架構在價格和執行方面具有更大的確定性,故將為新創公司提供另一種籌資途徑;方便SPAC能夠順利上市以尋找更多優秀的目標併購公司,並且為投資者提供更多選擇和機會。 基此,新交所成為亞洲首間採用SPAC上市架構的交易所。相關研究顯示,尤其在2019年生技創投籌資金額方面,新加坡以1.41億美元(3%)僅次於中國大陸(73%)和韓國(18%),名列亞太區第3名。 因此,對欲進軍東南亞市場或全球市場的台灣業者而言,新加坡何嘗不是一個品牌形象曝光的平台。
最後,就來談談全球首個採用SPAC上市架構的交易所—紐交所和納斯達克。先說紐交所,乃是面向全球最大和最著名公司的優質交易市場;其上市公司(包括 SPAC)受益於獨特的市場模式,該模式通過銷售點的指定做市商(Designated Market Maker, DMM)將最先進的技術與人工判斷結合起來;做市商有提供流動性、改進報價和鼓勵市場參與的正式義務;如此,確保在紐交所上市的公司獲得盡可能最好的市場質量。 至於納斯達克,自2010年以來,一直是SPAC的首選交易所;2021年上半年,納斯達克迎來了61%的美國公司合併,包括SoFi Technologies、Arrival SA以及PureCycle Technologies等公司。 所以,通過 SPAC架構上市,使公司能夠在短期內完成交易,而非數月;並且僅需就出售公司與控制SPAC單個投資者進行談判;故SPAC通常被稱為「空白支票公司」,跳過了預備IPO的階段,選擇目標公司後與之合併上市,目標公司最終是用從市場籌集的資金完成收購。截止2021年5月的數據,通過全球最大的新創籌資平台—納斯達克交易所上市的生技公司,約占全美所有上市生技公司的98%。 晚近有評論指出,由於通過SPAC架構上市的便利性,所以迫使越來越多生技公司開始接受SPAC架構上市。
綜上所述,不管是香港、新加坡、納斯達克抑或紐交所,皆是全球知名的資本市場籌資平台。加之彼等平台基礎建設完善,又不論是協助SPAC尋找目標併購公司抑或合併階段之未來股價估計,皆有良好專業團隊的協助。由此觀之,台灣業者實可以市場導向來決定將透過上述何一交易所的SPAC架構完成公開發行股票之交易目的。
